Terms

Terms of use and terms of sale

By creating an account you accept the terms below. They are written to be read: each section describes what you can expect from the service and what we expect from you. Version of 8 September 2026.

1. Purpose and acceptance

These terms govern access to and use of the Bilanea service, published by ICRAFT (58 rue de Monceau, 75008 Paris, France, Paris Trade and Companies Register 992314237), hereafter "Bilanea". The service comprises the financial analysis of companies from accounting documents, optimisation plans, a monthly check-in, an observatory of companies in difficulty or for sale, and a marketplace connecting sellers and acquirers.

The service is intended for professionals and for persons acting in a professional capacity or with a view to acquiring a company. Acceptance of the terms, evidenced by the box ticked when the account is created, binds the person signing up and, when they act for a company, that company.

2. Definitions

  • User: any person holding an account
  • Organisation: the workspace to which documents, credits and members are attached; a user may belong to several organisations
  • Analysis: the full report produced from a company's documents for one or more financial years
  • Credit: the unit of consumption; one analysis consumes one credit
  • Preview: the free, partial reading offered before purchase (score, a few ratios, first points of attention)
  • Optimisation plan: the cost-reduction and revenue-development leads drawn from an analysis
  • Assignment: the quoted support requested from an optimisation plan
  • Listing, seller, acquirer, offer, deposit: the marketplace notions defined in section 9

3. Account, organisation and security

Each user holds a personal account, created with a verified e-mail address or a Google account. Credentials are strictly personal; any action performed from an account is deemed performed by its holder, who informs Bilanea without delay of any unauthorised use. The owner of an organisation is responsible for the members they invite, the roles they assign and the documents uploaded to their workspace. The user warrants that they hold the necessary rights over the documents they upload and the authorisation of the company concerned when they are not its representative.

4. Plans, prices and payment

  • Free preview: no commitment; it is not an analysis and gives no access to the report
  • Single analysis: €9 excluding VAT, i.e. one credit; credits bought singly do not expire and stay attached to the organisation
  • Monthly subscriptions excluding VAT: Starter €29 (10 analyses per month, 2 members, written summary, multi-year), Pro €99 (50 analyses, 5 members, API, access to opportunities and to the radar), Business €299 (200 analyses, 25 members, multiple listings, single sign-on); the yearly subscription is billed ten months for twelve
  • A subscription's monthly analysis quota is topped up each month and does not carry over; credits bought singly add to the quota and are consumed after it
  • Large accounts, networks and white-label brands are quoted individually
  • Prices are stated excluding VAT; applicable VAT is added at payment according to the country and VAT number provided
  • Payment is made by card through Stripe; the invoice is available in the Billing area and sent by e-mail; if a subscription payment fails, the user is notified by e-mail and the subscription may be suspended after reminders until the situation is regularised
  • Bilanea may change its prices; current subscribers are informed by e-mail at least thirty days before the new price applies, with the option to cancel

5. Term, cancellation and plan changes

Subscriptions have no minimum term: they renew automatically by monthly or yearly period and may be cancelled at any time from the Billing area, the cancellation taking effect at the end of the paid period, without refund of the period in progress. Upgrading is immediate and prorated; downgrading applies from the next period. Analyses already produced and credits bought singly remain available after a subscription ends, within the features of the free plan.

The user may delete their account at any time; their personal data is then anonymised, and the organisation and its documents remain accessible to its other members or, if they were the sole member, are deleted on simple request. Payment obligations arising before termination remain due.

6. Right of withdrawal

The service is intended for professionals. Where a user nevertheless benefits from the right of withdrawal under the French Consumer Code (in particular a professional with at most five employees contracting outside their main activity), they have fourteen days from the purchase to withdraw through the contact form, without giving reasons. By starting an analysis, consuming a credit or using a subscription's features before the end of that period, they request immediate performance of the service and acknowledge losing their right of withdrawal for the part performed; the refund then covers unused credits.

7. Analyses and results

Reports are produced by a deterministic calculation engine from the documents supplied (accounting entries file, general ledger, balance sheet, tax return), supplemented where relevant by AI-assisted extraction or drafting, always flagged as such. They are decision support, not investment advice, a certified valuation, a chartered-accountancy engagement or a financing commitment. The user checks the consistency of the uploaded documents and remains solely responsible for the use of the results and the decisions they take.

An analysis that fails for a cause attributable to the service is credited back automatically. An analysis produced from incomplete, unreadable or inconsistent documents is not refunded: the free preview lets you check how the documents are read before buying.

8. Optimisation plans, monthly check-in and assignments

The optimisation plan is built from a paid analysis. Its precision depends on the documents supplied: with a general ledger or an accounting entries file it relies on the detailed accounts; with a balance sheet alone it gives an estimate flagged as such. The gains shown are orders of magnitude, not commitments. The monthly check-in compares a few figures entered by the user with the starting point; it is not bookkeeping.

An assignment request made from a plan is reviewed by Bilanea, which may decline it. When accepted, it is the subject of a separate quote, accepted and paid before any work starts, stating the scope, deliverables, timeline and conditions specific to the assignment; these terms apply on a subsidiary basis.

9. Marketplace: listings and confidentiality

  • The seller publishes an anonymous listing whose public part must contain nothing that identifies the company; they warrant the accuracy of the documents and figures supplied and keep the listing up to date
  • Each listing is reviewed before publication and may be declined or removed if it breaches these terms, without compensation; publication is included in subscriptions according to the plan's number of simultaneous listings (Starter one, Pro five, Business twenty-five), otherwise billed €149 excluding VAT per listing
  • The acquirer accesses identifying information and the data room after electronically signing a non-disclosure agreement; Bilanea keeps evidence of the signature (signatory name, timestamp, IP address) for five years and provides it to the parties on request
  • Information obtained under a non-disclosure agreement may be used only to assess the deal; any disclosure or use for another purpose makes the acquirer liable to the seller
  • Exchanges between the parties go through the platform's messaging; once the non-disclosure agreement is signed, the parties remain free to communicate directly, without this affecting the fees provided for in section 10

10. Marketplace: offers, deposit and fees

  • An offer is committed by a reservation deposit of 5% of the proposed amount, between €1,000 and €25,000, collected by Stripe on behalf of the deal; an offer is valid for fourteen days
  • The deposit is refunded in full, free of charge, in every case where the deal does not complete: withdrawal of the offer before acceptance, refusal or no answer from the seller by expiry, cancellation by either party at a later stage; it is set off against the price at the final signing
  • Accepting an offer on the platform is an agreement in principle to enter exclusive negotiations for the period agreed between the parties; it is not a sale, the transfer being completed through the deeds signed off-platform with the parties' advisers
  • A success fee of 3% excluding VAT of the final transfer price is owed by the seller to Bilanea at the signing of the final deed of a deal concluded with an acquirer introduced by the platform, including when the deed is signed off-platform within twelve months of the first introduction; it is invoiced on receipt of the signing information, which the seller undertakes to provide within fifteen days
  • The mandate given to Bilanea is not exclusive: the seller remains free to sell through other channels, with no fee owed to Bilanea for an acquirer not introduced by the platform
  • Bilanea is not a party to the transfer, holds no funds beyond the reservation deposit, and provides neither legal, tax nor investment advice; the parties remain free to use their advisers and are invited to do so

11. Prohibited uses

  • Uploading documents one is not entitled to use, or forged documents
  • Publishing a listing for a company one is not authorised to sell, or misleading information
  • Circumventing the introduction to avoid the success fee, or circumventing the billing of analyses
  • Extracting or reproducing the observatory, radar or listing data at scale, by automation or otherwise, beyond the personal use provided by the plan
  • Attempting to access another organisation's workspace, probing or disrupting the platform, sharing credentials or API keys
  • Using the service for an unlawful activity, unsolicited canvassing or sending unwanted messages to other users

12. Personal data and processing

  • For account and usage data, Bilanea is the controller; the privacy policy sets out purposes, recipients and retention periods
  • For personal data contained in accounting documents and listings, the organisation is the controller and Bilanea its processor under Article 28 GDPR; this section constitutes the data processing agreement
  • Bilanea processes that data only on the organisation's instructions, namely to produce the requested analyses, plans and listings, and for the legal obligations that apply to it
  • Authorised persons are bound by confidentiality; sub-processors are those listed in the privacy policy, any change being announced fifteen days in advance with a right to object
  • Bilanea implements the security measures described on the Security page, assists the organisation with data subject requests and impact assessments, notifies any data breach within 48 hours, and deletes or returns the data at the end of the contract
  • Bilanea makes available the information needed to demonstrate compliance with these obligations and allows a documentary audit once a year, at the organisation's expense, with thirty days' notice

13. Intellectual property

Uploaded documents and the reports, plans and exports derived from them belong to the user; Bilanea uses them only to provide the service and exploits them neither to train models nor to feed benchmarks other than in aggregated, anonymised form. The platform, its engine, methods, datasets and brand remain Bilanea's property; the user receives a personal, non-exclusive, non-transferable right of use for the life of their account. Reports shared by link are shared under the user's responsibility, who may revoke the link at any time.

14. Availability, liability and suspension

The service is provided with a target availability of 99.5% per month, excluding scheduled maintenance announced in advance. Bilanea is bound by an obligation of means. Its liability, all causes combined, is limited to the amount excluding VAT paid by the organisation during the twelve months preceding the triggering event; it covers neither loss of business, revenue or opportunity, nor decisions taken on the basis of the results. Bilanea is not liable for content published by users or for the outcome of deals initiated on the marketplace. Neither party is liable for a failure due to force majeure.

Bilanea may suspend an account or an organisation, after warning except in an emergency, in the event of a breach of these terms, non-payment or a security risk, and terminate it if the breach persists fifteen days after notice. An export of the organisation's data is provided on request within thirty days of termination.

15. Changes to the terms

Bilanea may amend these terms to reflect changes in the service, its providers or regulation. Users are informed by e-mail and in the application at least fifteen days before the changes take effect; continued use constitutes acceptance. A user who refuses a change may cancel their subscription before it takes effect and keeps the credits they bought.

16. Governing law and disputes

These terms are governed by French law. In the event of a dispute, the parties seek an amicable solution for thirty days from written notice of the dispute. Failing that, the dispute falls within the jurisdiction of the Paris economic activities court, including in the event of multiple defendants or third-party proceedings. If, exceptionally, the user qualifies as a consumer, the jurisdiction and mediation rules of the French Consumer Code apply and the mediator's details are provided on request.
